Terms of Service

These terms are an agreement between you and Leads Lancer LLC for the use of BidStaff (the "Service"). By creating an account you accept them. If you use the Service for a company, you accept them on its behalf.

1. The Service

BidStaff helps freelancers and agencies write Upwork proposals in their own tone, manage samples, track applications and run a team. We are an independent product and are not affiliated with Upwork. You are responsible for following Upwork's Terms of Service and for every proposal you send.

2. Accounts

Keep your login details safe. The account admin is responsible for the members they add and for activity in the account. You must be at least 18 and give accurate information.

3. Plans, credits and billing

• Plans are billed monthly or yearly in advance through our payment providers (Paddle, PayPal or Stripe). When you pay through Paddle, Paddle is the merchant of record and reseller of your order: it collects payment and sales tax, sends your receipt and handles refunds, and its Checkout Buyer Terms also apply. Yearly plans are billed once a year at the yearly price shown on the Pricing page.
• Each plan includes monthly proposal credits (a proposal, a rewrite or an invitation reply) and job-check credits (one job match score each). Demo credits are one-time. Unused credits do not roll over.
• Card trials run for the number of days shown at signup and are charged the plan price when they end, unless you cancel first. Cancelling during a trial is free and ends the trial credits; your data is kept. The free plan gives a small monthly allowance to one person, has no team seats and does not include the browser extension; it can be changed or ended with notice. Demos give one-time credits. One free account and one free trial are allowed per person, email address and Upwork profile; duplicate or fake accounts may be closed without notice. Trial credits have no cash value.
• If a payment fails, Proposal writing pauses until payment succeeds. Your data stays available.
• Subscriptions renew automatically at the then-current price until you cancel. You can cancel any time from the Billing tab; access continues until the end of the paid period. Prices are shown on the Pricing page and include or exclude taxes as shown at checkout. Refunds are handled as described in our Refund Policy.
• We may change prices with at least 30 days' notice. Changes apply from your next renewal.

4. Emails from us

We send service emails about your account, billing and security. If you leave the tips box ticked when you sign up or contact us, we also send occasional guides about winning Upwork clients and product news. Every marketing email has an unsubscribe link, and unsubscribing never affects your account emails.

5. Acceptable use

Do not use the Service to send spam, misrepresent your skills or identity, break any law or platform rule, upload malware, try to access other customers' data, or resell the Service without permission. We may suspend accounts that do.

6. Your content

You own the content you add and the proposals generated for you. You give us permission to store and process it only to provide the Service. Make sure you have the right to use any samples and data you upload.

7. Generated proposals

Generated text can contain mistakes. Always review proposals before sending. We do not guarantee that any proposal will win a job.

8. Availability

We work hard to keep the Service running, but it is provided "as is" and may sometimes be unavailable for maintenance or reasons outside our control.

9. Limitation of liability

To the maximum extent allowed by law, we are not liable for indirect or lost-profit damages, and our total liability is limited to the amount you paid us in the 3 months before the claim.

10. Termination

You can stop using the Service at any time. We may suspend or end access for breach of these terms. You can ask for a copy or deletion of your data by emailing [email protected].

11. Changes

We may update these terms. Continued use after changes means you accept them; we will notify you of significant changes.
